HIGH ROCKY RIDERS OFF ROAD CLUB BYLAWS

ARTICLE I

This organization will be known as the High Rocky Riders Off Road Club.

ARTICLE II

Objectives

The High Rocky Riders Off Road Club is organized for the purposes of:

  • Providing social, educational and recreational activities for its membership.
  • Participating in and supporting civic activities for the betterment of the community.
  • Being respectful of all land and roads.
  • Following the TREAD LIGHTLY rules and regulations.
  • Having a voice in local road and trail use and maintenance.
  • Working toward the development of new riding and jeeping opportunities.

ARTICLE III

Membership and dues

Membership is open to all those interested in motorized off-road recreation, including dirt bikes, ATVs, jeeps, SUVs, or any other vehicle used off road.

Each membership includes all members of the immediate family, however only adults (18 years of older) may vote, and each membership shall have only one vote. (Amend. 2, 3/23/06)

All members must conduct themselves in a respectable and orderly fashion whether in or outside club activities. Any member who embarrasses the club in the public eye may be subjected to expulsion from the club at the discretion of the Board of Directors.

Applicants for membership must be old enough to legally operate their off road vehicles.

The Board of Directors will decide dues for the organization. A signed Release of Liability/Liability Waiver Form signed by each member shall be received along with payment of annual dues by the anniversary date. Annual Club dues are $15.00 for an individual, family or business. (Amend. 3, 3/23/06)

At all times, members shall set good examples for others and promote safe riding and driving habits, so as not to put others in danger. Any member causing reckless endangerment to others may be subject to expulsion from the club at the discretion of the Board of Directors. (Amend. 3, 3/23/06)

ARTICLE IV

Meetings

Club meetings will be held monthly from January to October, with the time and place to be announced. Members are encouraged to attend the monthly meetings and each member, 18 years or older, shall have one vote. (Ament.5, 3/23/06).

ARTICLE V

Administration and Officers

An elected Officer must be willing to:

  • Promote and safeguard Club interests.
  • Be able to represent the entire membership impartially.
  • Demonstrate capacity for leadership and working with others.
  • Be willing and able to attend regularly scheduled Club meetings, special meetings of the officers and directors, and other meetings related to club interests for the two year term.
  • Be willing and able to work together to achieve the objectives of this motorized organization: to promote safety and stewardship on the trails, and work to keep trails open for motorized recreation.

The Board of Directors shall consist of: President, Vice President, Secretary, Treasurer, Motorized Events Director, Trail Development and Maintenance Director, Social Events Director, Publicity Director and Membership Director. An effort shall be made to have at least one member representing each of the following interests on the Board: ATVs, Jeeps, and Dirt Bikes (Amend.4, 3/23/06).

Board members shall serve a term of two years.

The Board of Directors shall meet monthly, with the time and place to be announced. Any member of the club is welcome to attend the meetings of the Board, but only board members may vote.

ARTICLE VI

Duties and Powers of Officers

The President shall preside over all meetings, and shall be the executive officer, with the duty to carry out the policies and decisions of the Board. The President shall have the power of vote only in the case of a tie.

The Vice President shall, in the absence of the President, serve in that capacity and perform any other duties as assigned by the Board. The Vice President and the Secretary shall share responsibility for official correspondence.

The Secretary shall keep and preserve all records and minutes of all meetings as well as a record of attendance. The Secretary and Vice President shall share responsibility for official correspondence.

The Treasurer shall keep accurate and complete financial records, manage all bank accounts, collect all dues and maintain an accurate record of the paid membership.

The Activities Coordinator shall schedule and supervise all club-sanctioned events, including rides, picnics, educational programs, etc.

The Social Events Director shall schedule and coordinate all Club-sanctioned events, and appoint a food and refreshment committee for meeetings and events.

The Director of Publicity shall be responsible for placing announcements and ads in the news media, coordinating emails, and sending information to the Webmaster for the Club website.

The Motorized Events Director shall schedule and coordinate all motorized events and club rides.

The Membership Director shall keep an updated membership list, coordiinate sending welcome letters, membership cards, and renewal letters to club members, stock membership forms/brochures at businesses and the Chamber of Commerce, and as necessary, coordinate membership drives.

Directors shall appoint members to fulfill obligations on their committee, as deemed necessary.

ARTICLE VII

Expenditures and Finance

All monies received from all sources shall be turned over to the Treasurer to be deposited in the account(s) of the club.

The Board of Directors shall be responsible for auditing the clubs books.

ARTICLE VIII

Committees

The Board of Directors shall designate any committee. The President shall assign a chair for each committee.

ARTICLE IX

Election of Officers

The membership shall meet and elect officers at the May meeting of each year. Newly elected officers shall take office immediately. The positions of President, Vice President, Secretary, and Treasurer shall be elected, while the President in consultation with other officers and the general membership shall appoint the other Board positions.

Elected Board members shall typically serve a term of two years, and may be re-elected.

Prior to each election, the President shall appoint a nominating committee to provide a slate of candidates to the general membership.

In case of a vacancy in an elected office, the remaining members of the Board shall appoint a replacement to complete the term of the departing office.

ARTICLE X

Recall

Any officer of the club may be recalled by majority vote of the membership.

ARTICLE XI

Amendments

Amendments to the bylaws shall be proposed to the general membership by the Board of Directors, and voted on by the membership at the following meeting.

ARTICLE XII

Rules and Regulations

Unless otherwise specified in these bylaws, Roberts Rules of Order Revised shall govern parliamentary procedure.

AMENDMENTS

AMENDMENT 1: Non-Profit Status

    High Rocky Riders is a non-profit organization.

AMENDMENT 2 thru 7: Have been incorporated into the text above.

AMENDMENT 8: Overview:

    This amendment allows the HRR to expand its organization by adding "chapters" to its membership base. A chapter is loosely defined as a group of members that are organized and located in an area of the state of Colorado that is remote to the region surrounding Buena Vista, Co. The chapter club can select and operate under its own name and logo, but its members are, in all respects, full members of the HRR organization.(see the actual Amendment for full details on rules for Chapters).
